Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions (“Affiliate Terms”) govern participation in the affiliate program operated by Make Places Happen – Bartłomiej Schmidt (“we”, “us”, “our”).

By applying to or participating in the Affiliate Program, you (“Affiliate”, “you”) agree to be legally bound by these Affiliate Terms.

1. Company information

2. Platform provider

The Affiliate Program is technically operated through the LearnWorlds platform.

  • LearnWorlds provides tracking and reporting infrastructure.

  • LearnWorlds is not a party to the affiliate agreement between you and us.

  • We are solely responsible for commissions, approvals, payouts, and affiliate communications.

Your use of the platform may also be subject to LearnWorlds’ own terms and policies.


3. Enrollment in the Affiliate Program

To participate, you must:

  • submit an affiliate application,

  • provide accurate and complete information,

  • be at least 18 years old.

We reserve the right to accept or reject any application at our sole discretion, without obligation to provide a reason.


4. Affiliate relationship

Participation in the Affiliate Program does not create:

  • an employment relationship,

  • a partnership,

  • an agency or joint venture.

You act as an independent contractor and have no authority to bind us in any way.


5. Affiliate links and tracking

Upon acceptance, you will be provided with unique affiliate links via LearnWorlds.

  • Sales are tracked using cookies and platform-based tracking mechanisms.

  • Cookie duration is determined by the platform settings and displayed in your affiliate dashboard.

  • We are not responsible for lost commissions due to cookie deletion, browser settings, or technical limitations beyond our control.


6. Commisions

  • Commission rates are displayed in the Affiliate Program interface or communicated separately.

  • Commissions are earned only on completed and paid transactions.

  • No commission is earned on:

    • refunded purchases,

    • chargebacks,

    • fraudulent or self-referrals.

We reserve the right to adjust commission rates prospectively with notice.


7. Payouts

  • Payouts are processed after the applicable refund period has expired.

  • Minimum payout thresholds may apply.

  • Payments are made using the payout methods available via LearnWorlds or agreed separately.

  • You are solely responsible for reporting and paying any applicable taxes.


  • 8. Affiliate obligations and marketing rules

    You agree to:

    • promote the courses honestly and lawfully,

    • comply with all applicable advertising, consumer protection, and competition laws,

    • ensure that all claims about the courses are truthful and not misleading.

    Mandatory affiliate disclosure

    You must clearly disclose your affiliate relationship (e.g. “I may earn a commission”) wherever required by law or good marketing practice, including under EU consumer protection regulations.

    9. Prohibited activities

    You may NOT:

    • use spam, unsolicited email, or deceptive practices,

    • bid on our brand name or trademarks in paid ads without written permission,

    • impersonate us or misrepresent the relationship,

    • offer unauthorized discounts, bonuses, or incentives,

    • create multiple affiliate accounts,

    • use black-hat SEO or misleading redirects.

    Violation may result in immediate termination and forfeiture of unpaid commissions.


    10. Intellectual property

    We grant you a limited, non-exclusive, revocable license to use our trademarks and marketing materials solely for affiliate promotion.

    You may not:

    • alter branding assets,

    • use them outside the scope of the Affiliate Program,

    • claim ownership of our intellectual property.

    All rights not expressly granted are reserved.

    11. Data protection and GDPR

    Personal data of Affiliates is processed in accordance with:

    • the GDPR (EU Regulation 2016/679), and

    • our Privacy Policy.

    Affiliate tracking involves cookies and identifiers necessary for commission attribution.
    You agree to process any personal data lawfully and to comply with applicable data protection laws.


    12. Term and termination

    This agreement begins upon acceptance into the Affiliate Program and continues until terminated.

    We may terminate your participation:

    • at any time,

    • with or without cause,

    • with immediate effect in case of breach.

    Upon termination:

    • your affiliate links become inactive,

    • unpaid commissions for valid sales prior to termination remain payable unless termination was due to fraud or material breach.


    13. Limitation and liability

    To the maximum extent permitted by law:

    • we are not liable for indirect or consequential damages,

    • we do not guarantee uninterrupted or error-free affiliate tracking,

    • our total liability shall not exceed the commissions paid to you in the previous 12 months.


    14. Modifications

    We may update these Affiliate Terms from time to time.

    The current version will always be available on the Affiliate Program page.
    Continued participation after changes constitutes acceptance of the updated terms.


    15. Governing law and jurisdiction

    These Affiliate Terms are governed by the laws of Poland.

    Any disputes shall be resolved by the competent courts of Poland.
